Terms & Conditions

These terms and conditions ("Terms") govern your (“Client”) use of the graphic design services provided by Rebecca (Bec) Gauci (Neat Creative) ("Designer").

1. Acceptance of Terms

By accessing and using graphic design services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not enter into an agreement with the Designer.

2. Scope of Services

The Designer agrees to provide graphic design services as outlined in the agreed-upon project proposal or contract.

3. Revisions and Modifications

The Client is entitled to a specified number of revisions as outlined in the project proposal. Additional revisions may incur additional charges.

4. Payment - Fees & Terms

The Client agrees to pay the Designer the agreed-upon fees for the graphic design services. Payment terms are outlined in the project proposal or contract. The Designer reserves the right to withhold services and deliverables until payment is received.

5. Confidentiality

Both parties agree to keep confidential all information shared during the course of the project, including but not limited to proprietary information, project details, and business strategies.

6. Copyright on Received Material

The Client agrees to provide the Designer with everything needed to complete the Services as, when and in the format requested by Contractor. The Designer does not accept liability or responsibility for copyright obligations on any material supplied by the Client or their Associates. It is a condition of engagement that the Client indemnify the Designer against any claims or liability arising from use of such material supplied for the purpose of this project and thereby used by the Designer for this project.

7. Intellectual Property - Ownership & Usage Rights

The Designer retains ownership of all original artwork, concepts, and design elements created during the project until full payment is received. Upon full payment, the Client is granted the right to use the final design, in the format agreed to, for its intended purpose outlined in the project proposal. The Client does not own working files and therefore the Contractor is under no obligation to provide these, unless negotiated prior, as part of the project scope.

8. Client Contact

The Client must nominate a person to be responsible for signing off on all content, changes or additional charges made during this project. The Contractor cannot be held responsible for changes made by unauthorised persons.

9. Termination of Services

Either party may terminate the services with written notice if the other party breaches these Terms. The Client agrees to compensate the Designer for work completed up to the termination date.

10. Indemnification and Limitation of Liability

The Client shall indemnify the Designer in full for all costs, losses either direct or indirect in any way incurred by the Client; and, where any such action by the Client causes loss or damage or liability of any kind howsoever to the Designer in connection in any way with the Services rendered.

11. Right to Authorship Credit

The Client agrees that the Designer may use the work produced as part of the Designers portfolio and websites, galleries and other media solely for the purpose of showcasing the Contractors work. The Contractor will not publish any confidential or non-public work without the Client’s prior consent.

12. Limitation of Liability

The Designer's liability for any claim, whether arising in contract, tort, or otherwise, shall be limited to the fees paid by the Client.

13. Changes to Terms

The Designer reserves the right to update or modify these Terms at any time. The Client is responsible for reviewing these Terms periodically.
